红星资本局2月25日消息，港交所公告显示， 百度 （09888.HK）与 欢聚 集团（YY.US）达成收购协议， 百度 以21亿美元（合人民币超152亿元）的价格收购 欢聚 集团在国内的视频娱乐直播业务YY Live。 　　公告显示，新协议达成后，此前存入托管账户的16亿美元（合人民币超110亿元）已全额退还 百度 ，并将投入云与AI基础设施建设。 　　2020年11月，百度曾与 欢聚 集团达成协议，以36亿美元的价格收购YY Live，并将部分款项存入托管账户。 　　也就是说，相较于2020年11月的协议金额，双方整体交易金额从36亿美元压缩至21亿美元，降价超百亿元人民币。 　　据报道，自2021年4月起，百度已经与YY完成了深度的业务整合。但2024年1月1日，百度突然发布公告宣布，将行使合同权利终止与欢聚集团的交易。 　　对此，百度称，股份购买协议规定，收购的交割须满足某些前提条件，包括获得必要的政府监管部门批准等，且如果收购未在最终截止日前完成，买方或卖方均有权终止协议。 　　截至2023年12月31日，即最终截止日，股份购买协议规定的交割前提条件尚未全部满足。 　　当时，欢聚集团发布公告称，“YY直播向百度的出售已于2021年2月8日基本完成，且某些事项仍有待未来完成，但百度在通知中声称，其已行使终止股份购买协议的权利取消了交易。对此，公司正在寻求法律建议，并将针对百度的通知考虑其可以采取的所有选择。” 　　据悉，YY目前仍处于盈利状态，其对百度而言仍是一笔正资产。 （文章来源：红星资本局）
