上交所5月5日下发对 开创国际 及时任董事会秘书汪涛予以监管警示的决定。经查明，2021年8月28日， 开创国际 披露，公司全资子公司上海开创远洋渔业有限公司(简称“开创远洋”)拟与江苏深蓝远洋渔业有限公司(简称“深蓝公司”)开展合作租赁经营，开创远洋向深蓝公司租赁一艘专业南极磷虾船“深蓝SHENLAN”号，年固定资产使用费7,850万元，租期4年，自船舶交付之日起算。双方按照业务年度核算，按开创远洋60%、深蓝公司40%的比例共享收益，共担亏损。 公告 同时披露，双方协议约定暂定于2021年10月31日前完成海试并交付船舶。上述事项，分别于2021年8月26日、9月13日经公司董事会、 股东 大会审议通过。此后，因该船涉及复杂的技术指标要求等因素影响，船舶交接未按约定的暂定交付日期在2021年10月31日之前完成，双方约定于2022年5月10日前完成船舶交付。对于未按约定日期交付船舶并重新约定交付日期的进展情况，公司未及时履行临时公告的信息披露义务，直至2022年4月1日才在2021年年度报告中披露。 （文章来源：界面新闻）
