中国网财经5月7日讯连拉三个涨停板的 *ST松发 昨日晚间发布股票异动公告称，经公司自查，公司近期生产经营情况正常，内外部经营环境未发生重大变化。 　　此外，公司拟以重大资产置换及发行股份购买资产的方式购买恒力重工100%股权，并向不超过35名特定投资者发行股份募集配套资金的交易已通过上交所并购重组审核，尚需证监会同意注册后方可实施，能否完成注册，以及最终完成注册的时间均存在不确定性。 　　在公告中， *ST松发 提示了二级市场交易风险、公司经营业绩风险和重大资产重组不确定性的风险。 　　其中经营业绩风险方面， *ST松发 称，2024年公司营业收入、归母净利润及扣非后净利润分别为2.75亿元、-7664.24 万元和-7,834.37万元。由于公司2024年度经审计的扣除非经常性损益前后的净利润低者为负值，且扣除与主营业务无关的业务收入和不具备商业实质的收入后的营业收入低于3亿元，触及《上海 证券 交易所股票上市规则》第9.3.2条第一款第(一)项规定，公司股票于2025年4月29日起实施退市风险警示，股票简称由“松发股份”变更为“*ST松发”。 （文章来源：中国网财经）
