6月30日， 航材股份 （688563）发布公告，近日公司完成了使用超募资金收购资产暨关联交易的进展。 　　根据公告，公司控股股东航材院将以协议转让的方式，将其持有的DZ406等六种高温合金母合金 知识产权 转让给公司，交易总金额为1.84亿元。此次交易是为了履行航材院在公司首次公开发行股票时的承诺，避免同业竞争。公司将不再通过授权许可的方式使用上述 知识产权 。 　　公告指出，交易价格以经国资监管部门备案的标的资产评估价值为依据，且收购资金全部来源于公司的超募资金，航材院不提供任何融资支持。此次交易被认定为关联交易，但不构成重大资产重组。相关的审批手续已于2025年6月27日获得批准，交易协议于2025年6月30日正式签署，预计将在未来30日内完成款项支付。 　　2025年一季度， 航材股份 实现收入6.53亿元，归母净利润1.35亿元。 （文章来源：财中社）
