中国通才教育 （02175）发布公告，宣布于2025年11月6日与卖方及目标公司签署股权购买协议，计划收购目标公司（广州市茼盟美术 教育 咨询有限公司）100%股权，交易总代价为3.12亿元。交易的第一期付款为代价的30%，即9360万元，将在满足若干先决条件后60个营业日内支付。 　　根据协议，收购的后续付款将分为三个阶段，第二期付款为7800万元，需在2026年年度审计报告发布后60个营业日内结算，茼盟美术 教育 咨询需实现母公司股东应占净利润达到2600万元。第三期和第四期付款分别为6240万元和7800万元，需满足相应的财务业绩指标。 　　公告指出，若目标公司未能达到约定的利润目标，买方有权从后续付款中扣留相应金额。完成后，目标公司将成为公司的全资附属公司，财务业绩将并入公司的财务报表。 （文章来源：财中社）
