中证智能财讯 上海石化 （600688）12月30日公告，公司董事会批准全资子公司内蒙古新金山 碳纤维 有限公司通过增资扩股方式引入战略投资者。 　　根据计划， 碳纤维 公司拟新增注册资本6亿元，增资完成后，其注册资本将增至不超过12亿元。其中，公司控股股东 中国石油 化工股份有限公司拟以非公开协议形式认购不超过3亿元新增注册资本，占增资完成后持股比例不超过25%；其余部分将通过北京产权交易所公开挂牌，由其他战略投资者认购。增资价格将以完成备案的评估值为依据，结合挂牌结果确定。 　　增资完成后， 上海石化 持有 碳纤维 公司的股权比例不低于50%，仍为其控股股东，合并报表范围不变。 　　碳纤维公司主要从事碳纤维生产销售，目标市场包括风电叶片用拉挤板材、交通运输材料和 储能 用 新材料 。截至2025年9月30日，该公司资产总额6.00亿元，1月至9月营业收入及净利润均为0元。 　　公告显示， 上海石化 碳纤维产业符合企业资源禀赋，发展趋势明确，具备构建新质生产力的条件。本次增资将产业合作与资本运作相结合，目的在于推动碳纤维业务重组引资和高质量发展，有利于实现 新材料 产业高端突围，构建以产业协同为核心的合作共赢体系。交易不会对公司未来的经营产生重大影响，不会导致新增关联交易或同业竞争。 　　上海石化前三季度公司实现营业总收入588.86亿元。 （文章来源：中国 证券 报·中证网）
