上证报中国证券网讯 （记者温婷）从“中外合资”变更为“外资控股”身份后，作为三大 银行 卡清算机构之一的“连通（杭州）”将正式更名为“运通（上海）”，与股东 连连数字 的关联被进一步弱化。 近日，中国人民 银行 更新 银行 卡清算机构重大事项变更信息，同意连通（杭州）技术服务有限公司（简称“连通公司”）变更公司名称为“运通（上海）银行卡清算有限公司”；并同意其设立“运通（上海）银行卡清算有限公司杭州分公司”。 连通公司成立于2017年11月，由 美国运通 与 连连数字 共同发起成立，最初二者持股比例均为50%，是一家典型的中外合资企业。连通公司于2018年获得中国人民银行筹建银行卡清算机构的许可，成为我国首个拥有外资背景的清算机构。2020年，连通公司获中国人民银行颁发的《银行卡清算业务许可证》，并在同年8月开展人民币清算业务。 2024年12月， 连连数字 与 美国运通 旗下两家实体公司Amex TRS及AEMD就出售连通公司股权签订协议。双方交易于2025年3月完成，连连数字于连通公司的权益进一步摊薄至17.63%。连通公司主体类型也由“中外合资”公司变更为“外商投资、非独资”公司，注册资本从57.6亿元增至近80.9亿元，增资超23亿元。 截至目前，已获银行卡清算业务许可证的机构有3家，分别为中国银联股份有限公司，连通公司，以及由美国 万事达 公司控股51%、网联持股49%的万事网联信息技术（北京）有限公司。 连连数字相关负责人此前表示，连通公司正是金融开放的积极成果，获得中美两国监管机构的认可。未来，连连数字将继续与 美国运通 保持良好合作关系，共同分享行业发展机遇。 根据连连数字2025年年报披露的信息，连通公司的董事会席位总数已变更为四个，连连数字将拥有其中一个席位，并将继续对连通公司具有重大影响力，持股比例仍保持17.63%不变。Amex TRS及AEMD对于连通公司的持股比例分别为80.72%和1.65%。 （文章来源：上海证券报·中国证券网）
