6月9日晚间， 重药控股 （000950） 公告 ，公司下属控股99.95%子公司重庆医药（集团）股份有限公司（重庆医药），拟公开引进投资人进行增资，增资总规模不超过20亿元，增资资金用于偿还其带息负债。 重药控股 不参与本次增资，增资完成后，公司仍作为重庆医药的控股 股东 ，继续拥有其实际控制权。 6月9日， 重药控股 报收7.73元，涨3.62%，换手率2.25%，滚动市盈率13.39，总市值134.76亿元。 重药控股提示，本次交易是落实高质量发展要求、积极稳妥降低资产负债率的重要举措，符合国家相关政策导向及公司发展目标，不存在损害公司及股东利益的情形。 该事项尚需报至公司上级国家出资企业重庆化医控股（集团）公司审批，并在重庆联合产权交易所公开征集投资人。 重庆医药成立于1997年4月28日，注册资本约4.71亿元，注册地位于重庆市渝中区民族路128号，为医药流通企业，主要从事 医药商业 、仓储物流、医药工业和研发等业务。 截至2023年3月末，重庆医药总资产578.74亿元，净资产117.58亿元；2022年和2023年一季度分别实现 营业收入 675.41亿元和192.37亿元； 净利润 分别为12.12亿元和2.43亿元。同期，母公司重药控股归母净利润分别为9.52亿元和1.66亿元。 增资扩股起，重庆医药董事会设置不超过9个席位，如本次增资总额在10亿元（含）以下，则增加1个董事席位；如增资总额在10～20 亿元，则增加2个董事席位。其中7席分配至重药控股，1席或2席分配至本次引进的投资人。重庆医药董事长由重药控股提名的董事担任。 此次投资满36个月后，重药控股可选择（但无义务）通过发行股份购买、选择自行或指定第三方以现金购买等方式， 回购 投资人持有的股权。 重药控股表示，公司通过开展 债转股 业务，引入长期权益性资金，并将资金专项用于偿还带息负债。 本次 债转股 可以有效增强公司资本实力，降低资产负债率，有助于提升公司核心竞争力和可持续健康发展能力。 （文章来源：上游新闻）
