天域生态 6月25日晚间公告，当天，公司控股股东罗卫国先生和史东伟先生与深圳泽源私募 证券 基金管理有限公司（代表“泽源利旺田42号私募 证券 投资基金”,简称“泽源利旺田”）签署《股份转让协议》，拟向后者转让其所持有的公司共计2200万股无限售流通股（占公司总股本的7.58%），转让价格为5.562元\/股，转让总价款约1.22亿元。其中，罗卫国拟转让1125万股，占比3.88%；史东伟拟转让1075万股，占比3.71%。 本次权益变动前，罗卫国及其一致行动人史东伟合计持有公司股份约9159.06万股，占比31.57%；本次权益变动后二人合计持有公司股份数减至6959.06万股，股比则降为23.99%，但仍为公司控股股东及实际控制人。 截至6月25日收盘， 天域生态 股价为6.15元\/股，此次转让价格5.562元\/股，相当于约九折。 在权益变动报告书中，罗卫国、史东伟表示，此次转让系“为了自身资金需求及支持上市公司发展”；泽源利旺田则表示，其目的是对受让后的股份进行资产管理，为私募投资基金委托人带来回报，且不谋求对上市公司的控制权，也不协助任何第三方谋求对上市公司的控制权。 （文章来源：上海 证券 报·中国证券网）
