上证报中国 证券 网讯（记者王彦琳）国务院新闻办公室9月24日上午举行新闻发布会。当日晚间，证监会官网发布了《关于深化上市公司并购重组市场改革的意见》《上市公司监管指引第10号——市值管理（征求意见稿）》，并公开征求意见。证监会等相关部门还制定了《关于推动中长期资金入市的指导意见》，近日将会印发。 　　东海 证券 非银首席分析师陶圣禹认为，引导中长期资金入市方面，针对完善“长钱长投”制度环境， 保险 机构已率先启动3年以上长周期考核，数据显示长期收益显著穿越周期，有效抑制了短期波动影响。未来对于中长期资金权益投资的监管包容性有望持续提升，“长钱长投”制度环境将逐步完善，以进一步改善市场资金结构，提升资本市场投资的吸引力。 　　对于新发布的“并购六条”，陶圣禹表示，未来并购重组主要聚焦于两个方面：一是围绕新质生产力实现转型升级，二是助力传统行业提升产业集中度和资源配置效率。此外，与一二级市场逆周期调节不同，监管对并购重组包容度显著提升，体现其对优化产业结构、提高资源配置效率的重视程度，关注重点也已从早期的提高公司数量，向中期严抓质量底线，到后期的提升投资价值逐级转变。 　　对于市值管理指引意见稿，陶圣禹认为，监管一直在持续推动上市公司提升信息披露透明度和公司治理规范性，以提升投资者回报。此次市值提升虽是目标，但市值管理的过程既是对公司自身发展战略和执行力的考验，也是对公司形象的重塑和内在价值的挖掘，将一定程度上优化公司治理体系，推动业务运作的良性改善，进而实现价值提升。 （文章来源：上海 证券 报·中国证券网）
